We created the AILIFEPAY INC. service to make it easy for borrowers to build applications that connect with banks and credit cards. These Terms of Use set forth here constitute a legally binding agreement between AILIFEPAY INC. ("AILIFEPAY INC.", "we", "us" or "our") and the individual(s), application, service, or business named on the registration page or API License Agreement ("you", "your", "user", or "client"). By registering with us on our website ("Site"), our API License Agreement, or by using our service in any way - you agree to these Terms of Use and all other operating rules, policies and procedures that will be published from time to time on the Site. The Site and AILIFEPAY INC. service will be referred to together as the "Service".
AILIFEPAY INC. Services
The Service enables applications to connect with end-user-authorized data from financial institutions including banks, card issuers, and card networks ("financial institutions"). Further, we attempt to structure, normalize, and cleanse the data we return to the client into a concise and highly functional format. AILIFEPAY INC. currently supports financial institutions in the United States. We are neither a bank, money service business, nor payment processor – and we cannot assume any liability for the products or services that are built using our service.
Our services are accessible using the AILIFEPAY INC. API and related tools made available on this site. AILIFEPAY INC. makes no warranty for use of these services, which are provided "as-is" (see our disclaimer). You assume all risk for use of these services, as we cannot guarantee data quality, uptime, or other relative metrics. Our service is built to help you connect with end users' personal and financial information (such as from third party banks) ("End User Data"), and it is your responsibility to obtain your end-users' consent in compliance with the applicable legal requirements and rules. Further, use of our services for anything other than what is named in these Terms of Use or our Privacy Policy is prohibited.
AILIFEPAY INC. supports certain financial institutions via AILIFEPAY INC.'s native technology. For other institutions (which we label "longtail institutions"), AILIFEPAY INC. utilizes information passed from a third-party provider. When you access information from the longtail institutions, your usage is governed by these Terms of Use and the relevant Additional Provisions.
Registration
The Service is made available under these Terms of Use to individuals or businesses to collect End User Data. To sign up for the Service, you must create an account ("Account") by registering using our registration page or our API License Agreement and providing basic information including your name location, email address, personal details and phone number. You must provide accurate and complete information and keep your Account information updated. It is your responsibility to maintain access to your account; you may never share your account information with a third party or allow any other application or service to act as you.
By accepting these Terms of Use, you confirm that you, your business, your employees, and any others relating to you adhere to all local laws and regulations, especially those pertaining to financial and personally identifiable data.
Customer Service
We will provide customer service to help resolve any issues relating to your Account, our services, and the other use of our software. The extent and nature of such customer service may be determined by AILIFEPAY INC. in its sole and absolute discretion. You, and you alone, are responsible for providing all customer service to your end-users for any and all issues relating to your product and services, including but not limited to issues relating to the Service.
Your Security Obligations
We cannot guarantee the security of our users' applications. We reserve the right to terminate a user without notice if we suspect that they are at risk of a security breach. While we cannot ensure that our users follow all the necessary security protocols, we strongly recommend that you adhere to the following minimum security protocols:
It is your responsibility to maintain the security of your account information, including your Client Identification Number ("client ID") and Client Secret ("secret"). You must notify us immediately of any breach of security or unauthorized use of your Account. You may never publish, distribute or share your Client ID or Secret.
Privacy
Please review our Privacy Policy (which also governs your visit to our Site) to understand our practices Including the collection and use of personal identifiable information. Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, notwithstanding AILIFEPAY INC.'s efforts to protect such transmissions.
Intellectual Property
This Site, the content, any materials downloaded, and all intellectual property (“IP”) pertaining to or contained on the Site (including but not limited to copyrights, patents, database rights, graphics, designs, text, logos, trademarks and service marks) are owned by AILIFEPAY INC. or third parties and all right, title and interest therein shall remain the property of AILIFEPAY INC. and/or such third parties (collectively, the “Content”). You are authorized solely to view and retain a copy of the pages of the Site for your own personal, non-commercial use. All Content is protected by copyright, patent, trade dress, trademark laws and various other IP rights and unfair competition laws.
You agree that you will not create derivative works from, duplicate, publish, participate in the transfer, or exploit the Site, or any portion of the Site for any public or commercial use without the express written consent of AILIFEPAY INC. You may also view and make copies of relevant documents, pages, images or other materials on this Site for the purpose of transacting business with AILIFEPAY INC. Additionally, you agree that you will not (a) remove author, trademark or other proprietary notice or legend displayed on the Site and (b) make any other modifications to any documents obtained from the Site.
Indemnity
By using the Site, you agree to defend, indemnify, and hold harmless AILIFEPAY INC. from and against any and all losses, claims, damages, costs and expenses (including reasonable legal and accounting fees) that AILIFEPAY INC. may become obligated to pay arising or resulting from your use of this Site, the Content, or your breach of these Terms of Use. AILIFEPAY INC. reserves the right to assume or participate, at your expense, in the investigation, settlement and defense of any such action or claim.
Site Security
As a condition of your use of this Site, you agree you will not, take any action intended to: (a) invade the privacy of, obtain personal information about any AILIFEPAY INC. customer (b) access data not intended for you; (c) scan or test the vulnerability of the AILIFEPAY INC. network or breach security without proper authorization; (d) send unsolicited mail, including promotions or advertising and services (e) attempt to interfere with service to any host, network or user or attempt to disrupt our business, via means of submitting a virus to this Site, spamming, flooding, crashing.
Termination
We may terminate or suspend your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may do so by following the instructions on the Site. Any fees paid hereunder are non-refundable. All provisions of these Terms of Use, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Limitation of Liability
EXCEPT WHERE PROHIBITED BY LAW, NEITHER AILIFEPAY INC., NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS OR ASSIGNS OF EACH, SHALL BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF AILIFEPAY INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNLESS OTHERWISE EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT WITH YOU, AILIFEPAY INC.’S MAXIMUM LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS SITE, OR ITS CONTENT, WHETHER IN CONTRACT, TORT OR OTHERWISE SHALL BE LIMITED TO THE AMOUNT YOU PAID TO ACCESS THIS SITE.

Law and Venue
These Terms of Use and the relationship between you and AILIFEPAY INC. shall be governed by the laws of the State of California without regard to its conflicts of law provisions. This Site is located in the State of California. You agree to the personal jurisdiction by and venue in the state and federal courts in Los Angeles County, California. Consent and agree that such courts are the exclusive forum for litigation of any claim or cause of action arising out of or relating to your use of this Site or the Content.
Miscellaneous
These Terms of Use constitute the entire agreement between you and AILIFEPAY INC. regarding use of the Site, and all other written or oral agreements or understandings previously existing between you and AILIFEPAY INC. with respect to such use are hereby superseded and cancelled. Any failure by AILIFEPAY INC. to exercise any rights or enforce any of these Terms of Use shall not constitute a waiver of such rights. AILIFEPAY INC. will not accept any counter-offers, and all such offers are hereby rejected. If any provision of these Terms of Use or their application in a particular circumstance is held to be invalid or unenforceable to any extent, the remainder of these Terms of Use, or the application of such provision in other circumstances, shall not be affected thereby, and each provision hereof shall be valid and enforced to the fullest extent permitted by law. This Site and its Content are directed to persons residing in the United States.
Credit Decision
Loan approval and actual loan terms depend on your ability to meet our standard credit criteria (including credit history, income, expenses and debts) and the availability of collateral. Loan amounts subject to state specific minimum or maximum size restrictions.
Terms and Conditions Apply. AILIFEPAY INC. RESERVES THE RIGHT TO MODIFY OR DISCONTINUE PRODUCTS AND BENEFITS AT ANY TIME WITHOUT NOTICE. To qualify, a borrower must be a U.S. citizen or permanent resident in an eligible state and meet AILIFEPAY INC.'s underwriting requirements. Not all borrowers receive the lowest rate. To qualify for the lowest rate, you must have a responsible financial history and meet other conditions. If approved, your actual rate will be within the range of 7% to 35.99% and will depend on a variety of factors, including term of loan, a responsible financial history, years of experience, income and other factors. Rates and Terms are subject to change at anytime without notice and are subject to state restrictions. AILIFEPAY INC.'s loans are private loans and do not have the same repayment options that the federal loan program offers such as Income Based Repayment or Income Contingent Repayment or PAYE.
